1. Overview

1.1 These terms of service (“Terms of Service”) constitute a legally binding agreement between you and Second Glance Pte Ltd (“Second Glance” or “we” or “us” or “our”), a reputable second-hand dealer, and govern your use of and access to the Second Glance www.secondglance.sg website (“Site”) and the services offered (referred to as “Services” herein). These Terms of Service outline your respective legal rights and obligations when accessing and/or using the Site and/or Services. It is important to carefully review these Terms of Service (including the Privacy Policy) before utilizing this Site and/or Services. By accessing or using this Site and/or Services, you acknowledge and agree to be bound by these Terms of Service. If you do not agree to any of these terms, please refrain from using or accessing this Site and/or Services.

1.2 The Services provided via this Site include, but are not limited to:

1.2.1 An online platform facilitating the sale of second-hand or pre-owned items, including but not limited to luxury products, through both consumer-to-consumer and business-to-consumer transactions, encompassing both direct sale or consignment of products to Second Glance Pte Ltd and the subsequent sale to buyers.

1.2.2 An authentication service integrated into the sales and consignment process, ensuring the authenticity of second-hand or pre-owned luxury items.

1.2.3 Any other associated services offered by Second Glance, its agents, and/or employees.

Collectively, these services are referred to as the “Services”.

1.3 These Terms of Service apply to all users of the Site and Services, including but not limited to sellers, buyers, or contributors of content, information, and other materials.

1.4 If you are accessing the Site and Services or entering into this Agreement on behalf of a corporation, partnership, registered business, society, unincorporated association, or other business entity (“Business Entity”):

1.4.1 The terms “you” and “your” in these Terms of Service shall refer to both you as an individual and the Business Entity, unless the context suggests otherwise.

1.4.2 By utilizing the Site and/or the Services, you represent and warrant that you are duly authorized to act on behalf of the Business Entity, and that these Terms of Service are binding upon the Business Entity.

1.5 These Terms of Service are not exhaustive of any other agreements applicable to this Site. Additional terms, conditions, and notices may be posted in other areas or sections of this Site or provided to you, and together with these Terms of Service, govern your access and use of the Site and Services. This collective agreement, including any supplementary terms and conditions, is herein referred to as the “Agreement”.

2. License

2.1 Subject to your adherence to these Terms of Service and the Privacy Policy, Second Glance Pte Ltd hereby grants you a revocable, non-exclusive, non-assignable, non-sublicensable, and non-transferable license to utilize the Site and access and use the Services, including the Site, under the terms and conditions outlined in this Agreement.

2.2 By utilizing the Site and/or Services, you agree not to:

2.2.1 Violate any applicable rule, law, or regulation concerning your access to or use of the Site and/or Services.

2.2.2 Engage in the solicitation, purchase, or sale of counterfeit, stolen, or illegal items, or commit or solicit any fraudulent transactions, or engage in any criminal activities, including but not limited to terrorism financing and money laundering.

2.2.3 Utilize the Site and/or Services for any purpose other than those for which they are provided by Second Glance.

2.2.4 Attempt to reverse engineer, decompile, disassemble, or otherwise discover the object code, source code, or underlying ideas or algorithms of the Site and/or Services.

2.2.5 Intentionally interfere with or disrupt the operation and performance of the Site and/or Services, or the access of any user, host, or network, including, but not limited to, hacking, transmitting any virus, overloading, flooding, spamming, denial-of-service attacks, or tampering with any aspect of the Site and/or Services.

2.2.6 Use cheats, exploits, hacks, bots, mods, or third-party software designed to gain an advantage, perceived or actual, over other users, or modify or interfere with the Site and/or Services.

2.2.7 Circumvent or attempt to circumvent any technological measure implemented by Second Glance Pte Ltd or any of its authorized representatives to protect the Site, Services, and/or intellectual property owned by Second Glance.

2.2.8 Upload any material or act in any way that may potentially infringe any trademark, copyright, patent, or other proprietary rights of any party.

2.2.9 Modify, translate, or create derivative works based on any element of the Site or Services.

2.2.10 Modify, reproduce, adapt, or publicly distribute any materials or content on this Site without the prior written approval of Second Glance.

2.2.11 Collect, use, disclose, or process personal data of other individuals without obtaining their express and valid consent.

2.2.12 Attempt to obtain unauthorized access to the Site and/or the Services.

2.3 By using the Site and/or Services, you acknowledge that:

2.3.1 Any information and documentation you provide to Second Glance Pte Ltd is true, correct, and complete, and you agree to promptly notify Second Glance Pte Ltd of any changes to such information.

2.3.2 You will not falsify information, impersonate others, or misrepresent your relationship with or authority to represent any persons or entities.

2.3.3 You will comply with all notices, guidelines, rules, and instructions pertaining to the use of the Site and/or the Services as issued in writing by Second Glance Pte Ltd from time to time.

2.3.4 Any breach of these Terms of Service may result in the suspension or termination of your Account and the right to use the Site or Services and possible legal action against you.

2.3.5 Subject to the provisions of relevant laws and the Privacy Policy, Second Glance Pte Ltd has the right to utilize any files or data uploaded or submitted to the Site or through the Services in any manner deemed appropriate.

2.3.6 All products, packages, and promotions offered by Second Glance Pte Ltd are exclusive to Second Glance.

2.3.7 You have obtained all relevant and necessary consents before posting, providing, or submitting the personal data of third parties.

3. Account

3.1 To utilize the Services and certain features of the Site, you must possess a valid account on the Site, known as a Second Glance account (“Account”). Registration for an Account can be completed at the following link: Secondglance.sg/registration (Account Registration Link). When creating an Account, you affirm and warrant that:

3.1.1 If you are an individual, you are at least 18 years old.

3.1.2 If you represent a Business Entity, you have the authority to bind the Business Entity to these Terms.

3.1.3 You have the capacity to enter into and fulfill legally binding contracts under applicable law.

3.1.4 All information provided by you is accurate, current, truthful, and complete.

3.2 If you are under 18 years of age, you may only utilize the Services with the consent of and under the supervision of your parent or legal guardian, who will be held responsible for all your activities.

3.3 By creating an Account, you are deemed to have read and accepted these Terms of Service as well as the Privacy Policy.

3.4 You are solely responsible for and assume the risk of all activities conducted under or pursuant to your Account, regardless of whether such use is authorized by you. Second Glance Pte Ltd shall not be liable for controlling or monitoring the use of your Account or for any losses incurred by you or any third party due to any unauthorized use of your Account. To prevent unauthorized use, you agree to take necessary actions to maintain the security of your Account, including using a strong password, regularly changing your passwords, refraining from reusing passwords across platforms, and keeping your password confidential.

3.5 The Account is non-transferable.

3.6 You agree to be solely responsible for all your online activities and communications conducted through your Account. You acknowledge that Second Glance Pte Ltd will consider all transactions and activities entered into using your Account as conducted by you, and you agree to be liable for such transactions and activities. Second Glance Pte Ltd will not be liable for any loss, damage, liability, claims, demands, fees, costs, and expenses arising from unlawful, fraudulent, or otherwise wrongful or unauthorized use of your Account.

3.7 If you suspect any unauthorized use of your Account, or theft, loss, or unauthorized disclosure of your Account login details, you must immediately notify Second Glance Pte Ltd at: [email address]. Second Glance Pte Ltd will investigate and respond to your notification within a reasonable timeframe and reserves the right to suspend your Account until the matter is resolved.

3.8 Any breach of these Terms of Service may lead to immediate termination or suspension of your Account without prior notification.

3.9 All outstanding transactions and amounts owed to Second Glance Pte Ltd must be settled before your Account is closed, whether initiated by you or by Second Glance Pte Ltd.

4. Services

4.1 Products offered for sale through the Site will be showcased in an online listing, featuring photographs of the item, textual descriptions, pricing, and additional details (“Listing”). Second Glance Pte Ltd reserves the right to adjust, modify, revise, suspend, or withdraw any Listing at its sole discretion and without prior notice, explanation, or liability to you.

4.2 In addition to the above, Second Glance Pte Ltd retains the right to delete any content or Listing:

4.2.1 Upon receipt of a complaint from another user.

4.2.2 Upon receipt of a notification or allegation of intellectual property infringement or other legal directives or requests for removal.

4.3 You acknowledge and agree that you are solely responsible for evaluating and assuming all risks associated with the use of any information contained within a Listing, including but not limited to reliance on its accuracy, completeness, or usefulness.

5. Buying with Second Glance

5.1 All items offered for sale through the Site (referred to as a “Product” individually and “Products” collectively) are sold “as is,” without any warranties, express or implied, and however arising.

5.2 By placing an order for a purchase with us, you acknowledge and agree to the following:

5.2.1 The Product has undergone our inspection and authentication process.

5.2.2 The inspection and authentication of the Product are conducted independently by us and do not constitute any representation or warranty by Second Glance Pte Ltd, whether express or implied, regarding the authenticity, accuracy of description, quality, merchantability, condition, state of repair, or suitability or fitness for any particular purpose or use of the Product.

5.2.3 Any inspection and authentication services provided by Second Glance Pte Ltd are solely for our own purposes and are not intended to be relied upon by you.

5.2.4 The Site may contain images of the Product, text descriptions, price, measurements, and other information. The color of the Products displayed on the Site may slightly differ from the actual color due to lighting conditions and variances in computer screen displays. You understand and agree that there may be a difference of 0.5 to 1 inch in the measurements stated for each Product on the Site.

5.2.5 All known defects and limitations of the Product have been disclosed to you by Second Glance Pte Ltd before your purchase.

5.2.6 Title to the Product shall only transfer from Second Glance Pte Ltd to you upon full receipt of all amounts due and payable by you under these terms, regardless of whether you are in possession of the Product.

5.2.7 Second Glance Pte Ltd makes no representations or warranties, whether express or implied, including any warranty as to title, non-infringement, authenticity, accuracy of description, satisfactory quality, merchantability, condition, state of repair, or suitability or fitness for any particular purpose or use of the Product, and all such representations and warranties are excluded to the fullest extent permitted by applicable law.

5.2.8 Second Glance Pte Ltd shall not be liable for any damages, loss, costs, or expenses arising from the use of or inability to use the Product or otherwise related to the Product.

5.2.9 To the fullest extent permitted by law, Second Glance Pte Ltd shall not be liable for any indirect, incidental, consequential, special, or exemplary damages arising out of or in connection with your purchase of the Product.

5.2.10 Your sole remedy in respect of Products that do not comply with the Product details or are not authentic is outlined in Clause 11 of these Terms of Use.

5.3 You represent and warrant that:

5.3.1 You have the full power and authority to enter into the purchase and carry out the transactions contemplated by you.

5.3.2 You have taken all necessary action to authorize the execution and delivery of the purchase and performance of your obligations under these Terms of Use.

5.3.3 The execution and delivery of the purchase by you, and your compliance with the terms herein, do not and will not (1) conflict with or result in a breach of any terms, conditions, or provisions of, or (2) constitute a default under, any agreement, order, judgment, decree, obligation, or instrument to which you are subject.

5.3.4 All statements and particulars made or given to Second Glance Pte Ltd are and remain true and accurate in all respects and are not misleading in any way.

5.4. Payment

5.4.1 You are responsible for all fees, taxes, duties, tariffs, levies, and other costs and expenses related to or associated with the sale and transfer of the Product, as well as any other incidental costs and expenses related thereto (“Incidental Charges”). If Second Glance Pte Ltd is required to cover such Incidental Charges, you must promptly reimburse Second Glance Pte Ltd in full before the transfer and delivery of the Product.

5.5 It is hereby acknowledged and agreed that:

5.5.1 You have been afforded a reasonable opportunity to inspect and examine the Product.

5.5.2 You have found the Product to be of merchantable and satisfactory quality, compliant with the Product details provided by Second Glance, in good and proper working condition, and suitable or fit for the purpose for which such Product is commonly supplied.

5.5.3 You have not, either expressly or implicitly, communicated to Second Glance Pte Ltd or any of its agents or servants any specific purpose for which the Products are required. You confirm that you relied on your own skill and judgment and did not rely on the skill or judgment of Second Glance Pte Ltd.

5.5.4 If you are not a natural person (i.e., if you are a company, partnership, limited liability partnership, sole proprietorship business, or otherwise), you are entering into the purchase in the course of business and are not dealing as a consumer as defined under the Unfair Contract Terms Act 1977 and the Consumer Protection (Fair Trading) Act 2003.

5.5.5 In the event you seek any relief or remedy regarding any non-conformity of the Product pursuant to the Consumer Protection (Fair Trading) Act 2003 or any other applicable law, any reduction in the transacted value of the Product (“Transacted Value”) or any refund of the Transacted Value or price thereof shall not prejudice or affect your liabilities to Second Glance Pte Ltd under these terms, and you shall remain liable for the full amount of any Incidental Charges as provided under these terms.

5.6 In addition to any right of lien to which Second Glance Pte Ltd may be entitled, Second Glance Pte Ltd shall have a general lien on all goods of yours in Second Glance Pte Ltd’s possession (even if such goods or some of them have been paid for) for the unpaid price of any goods sold and delivered to you by Second Glance Pte Ltd under your purchase(s).

7. Selling with Second Glance

7.1 Information regarding the terms, methods, and process for selling your items (each referred to as an “Item,” collectively as “Items”) can be found on our “Sell Your Item” page.

7.2 By submitting the “Sell to Us” form, you agree and acknowledge:

7.2.1 That the details of the Items provided in the “Sell to Us” form are accurate and true.

7.2.2 That (i) the personal information you furnish in the “Sell to Us” form is accurate and true (or if you are providing personal information on behalf of another person, you have the necessary authorization and consent from that person), and (ii) our employees, authorized agents, courier partners, representatives, or third parties providing services on our behalf (“Second Glance Personnel”) have your consent to contact you (using the details provided by you in the “Sell to Us” form) to facilitate your selling process with us.

7.3 Upon receiving your Items, we reserve the right to reject and request a refund for such Items if:

They fail to meet our quality and verification standards.

They exhibit missing or broken parts, extensive wear and tear, or do not conform to the categories of goods we accept.

For any other reason at our sole discretion.

In such cases, we will contact you to arrange for the retrieval of the Items and invoice you for the refund. If you fail to retrieve the Items within the agreed time frame, we reserve the right to dispose of or deal with the rejected Items as deemed appropriate, without any liability to you. However, this does not affect our ability to invoice you for the purchase price of the Items.

7.4 By offering your Items for sale to us, you warrant and represent that:

7.4.1 All statements and particulars provided by you are true, accurate, and not misleading in any way.

7.4.2 You are the sole and rightful owner of all rights, title, and interest in and have full authority to sell the Product, including for resale by Second Glance.

7.4.3 The Product is not stolen property or obtained in whole or in part through fraudulent or dishonest means, and does not represent benefits from criminal conduct.

7.4.4 The Product will be sold and delivered to Second Glance Pte Ltd free and clear of all liens, encumbrances, security interests, and other claims against title, unless otherwise agreed upon in writing by Second Glance.

7.4.5 The Product is of merchantable and satisfactory quality, in good and proper order, suitable or fit for its commonly supplied purpose, and complies with the Product details provided by you.

7.4.6 The Product is authentic and does not infringe upon the intellectual property rights of any third parties.

8. Consigning with Second Glance

8.1 Information regarding the terms, methods, and process for consigning your Items can be found on our “Sell Your Luxury Items” guide.

8.2 By submitting the “Consign with Us” form, you agree and acknowledge:

8.2.1 That the details of the Items provided in the “Consign with Us” form are true and accurate.

8.2.2 That (i) the personal information you provide in the “Consign with Us” form is accurate and true (or if you are providing personal information on behalf of another person, you have the necessary authorization and consent from that person), and (ii) our employees, authorized agents, courier partners, representatives, or third parties providing services on our behalf (“Second Glance Personnel”) have your consent to contact you (using the details provided by you in the “Consign with Us” form) to facilitate your consignment process with us.

8.3 Upon receiving your Items, we reserve the right to reject such Items if:

They fail to meet our quality and verification standards.

They exhibit missing or broken parts, extensive wear and tear, or do not conform to the categories of goods we accept.

For any other reason at our sole discretion.

In such cases, we will contact you to arrange for the retrieval of the Items. If you fail to retrieve the Items within the agreed time frame, we reserve the right to dispose of or deal with the rejected Items as deemed appropriate, without any liability to you.

8.4 By offering your Items for consignment with us, you warrant and represent that:

8.4.1 All statements and particulars provided by you are true, accurate, and not misleading in any way.

8.4.2 You are the sole and rightful owner of all rights, title, and interest in and have full authority to sell the Product, including for resale by Second Glance.

8.4.3 The Product is not stolen property or obtained in whole or in part through fraudulent or dishonest means, and does not represent benefits from criminal conduct.

8.4.4 The Product will be sold and delivered to Second Glance Pte Ltd free and clear of all liens, encumbrances, security interests, and other claims against title, unless otherwise agreed upon in writing by Second Glance.

8.4.5 The Product is of merchantable and satisfactory quality, in good and proper order, suitable or fit for its commonly supplied purpose, and complies with the Product details provided by you.

8.4.6 The Product is authentic and does not infringe upon the intellectual property rights of any third parties.

9. Delivery with Second Glance

9.1 Information regarding the terms, methods, and process for the delivery of your Product order shall be outlined in accordance with our Delivery Policy.

9.2 It is your responsibility to ensure that the delivery address and contact details provided are accurate. The timing of delivery is not considered critical, and Second Glance Pte Ltd shall not be held liable for any losses, liabilities, costs, damages, charges, or expenses resulting from delayed delivery.

9.3 In the event you are unavailable to receive the delivery of your order, we may attempt to contact you using the provided contact details. We will make efforts for re-delivery, and in such circumstances, you may be requested to liaise with the local courier or our customer service team to arrange for the re-delivery.

9.4 Should the delivery of your order fail due to your unreasonable refusal to accept delivery, or if you fail to accept delivery even after re-delivery attempts:

9.4.1 We reserve the right to charge you for any costs and expenses reasonably incurred by us.

9.4.2 We may opt to cancel your order and withhold the Product(s) from delivery. In such instances, we will notify you of the cancellation. Any payment made for your purchase will be refunded via the same payment method, deducting any applicable sums incurred by us (including re-delivery attempts and administrative charges resulting from such cancellation).

We retain the right to invoice you for all incurred costs or deduct them from any Second Glance Points you may have in your Account (if applicable).

10. Returns and Refunds

10.1 Our Returns & Refunds Policy governs the terms, methods, and information regarding the return and refund process for Products purchased from Second Glance Pte Ltd.

10.2 If your purchase does not meet your expectations, you have the option to return the Product within the specified timeframe. To qualify for a return, the Product must be unused, in its original condition, and with all attached Product tags intact.

10.3 You are responsible for ensuring that the returned Product remains in the same condition as when you received it and is adequately packaged. Second Glance Pte Ltd cannot be held liable for any loss, delay, or damage to returned Products during transit.

10.4 Returns made outside of the designated timeframe will not be accepted.

10.5 Should we find that a returned Product is in unsatisfactory condition or not returned according to the specified process:

10.5.1 We reserve the right to refuse acceptance of the Product or processing of your refund.

10.5.2 The Product may be returned to you, and you may be required to cover any reasonable costs incurred by us for its return. Second Glance Pte Ltd reserves the right to invoice you for such costs or deduct them from your account balance, if applicable. In such instances, we shall not be held liable for any resulting losses, liabilities, costs, damages, charges, or expenses. If you fail to take delivery of the Product after three (3) attempted deliveries, despite our efforts to coordinate, Second Glance Pte Ltd reserves the right to handle the Product and accompanying items as deemed appropriate. Any resulting loss incurred by Second Glance Pte Ltd in the resale or attempted resale of the Product pursuant to this Clause shall be recoverable from you as damages.

10.6 The rights of Second Glance Pte Ltd under Clause 10.5 are supplementary to, and not a replacement for, any other payment or damages for which you may be liable under these terms. These rights are without prejudice to any other legal or equitable remedies available to Second Glance Pte Ltd.

11. Second Glance Loyalty Program

11.1 By joining our loyalty program (referred to collectively as “Loyalty Program Members,” and individually as “Loyalty Program Member,” “Member,” or “you”), you agree to the terms outlined herein, governing your participation in the Second Glance loyalty program (“Loyalty Program”). These terms encompass the criteria for achieving tiered status, earning, and redeeming Loyalty Program points (“Points”).

11.2 Second Glance Pte Ltd reserves the unilateral right to deny membership in the Loyalty Program to any user without providing a reason or written notice.

11.3 As a Member, you adhere to the following:

11.3.1 All benefits, offers, rewards, and services provided through the Loyalty Program are subject to availability and may be altered by Second Glance Pte Ltd at its discretion without prior notice. Second Glance Pte Ltd also reserves the right to terminate the Loyalty Program, in whole or in part, without notice.

11.3.2 In cases where breaches of our Terms of Use, guidelines, or additional terms and conditions and policies are discovered or suspected, Second Glance Pte Ltd reserves the right to (a) deny membership, (b) immediately remove you from the Loyalty Program, and/or (c) deny you any eligible Rewards.

11.3.3 Should your account be suspended or terminated, Second Glance Pte Ltd may deem any accumulated Points in that account as forfeited without prior notice. You agree not to hold Second Glance Pte Ltd liable for any expired Points.

11.4. Earning Points

11.4.1 Members earn Points for every dollar spent on the Second Glance website, which can be redeemed for rewards as notified by Second Glance Pte Ltd.

11.4.2 Membership Points are exclusive to the Second Glance Pte Ltd website and are valid for one (1) year from the allocation date. Any Points deemed expired will be canceled immediately without further notice. Second Glance Pte Ltd reserves the right to manage expired Points at its discretion, and you agree not to hold Second Glance Pte Ltd accountable for any expired Points.

11.4.3 Membership Points may not be resold and are non-refundable, non-transferable, and cannot be exchanged or redeemed for cash or credit balance under any circumstances. Any attempt to transfer, sell, or barter Points will render them void.

11.4.4 You acknowledge that Rewards may include products or services from third-party vendors, and Second Glance Pte Ltd is not liable for such products or services. Any terms and conditions related to these vendors are to be agreed upon directly between you and the vendor at your own risk.

11.4.5 Second Glance Pte Ltd shall not be held responsible or liable for any loss, injury, damage, or harm resulting from your use of any Reward.

11.4.6 Second Glance Pte Ltd reserves the right to adjust Points balances in case of errors, and may allocate Points to you at no cost (“Free Points”) at its discretion, subject to additional terms and conditions.

11.4.7 In the event of Loyalty Program termination, all unredeemed Points will be forfeited without any obligation or liability to you.

11.5. Membership Benefits

Loyalty Program Members are entitled to specific benefits, offers, rewards, and services based on their Membership level.

11.6 Second Glance Pte Ltd does not provide any warranties or representations regarding the type, quality, or fitness of goods or services provided through the Loyalty Program.

11.7 Second Glance Pte Ltd’s waiver of any breach of Loyalty Program rules by a Member shall not constitute a waiver of any other prior or subsequent breach.

11.8 Second Glance Pte Ltd is not responsible for any loss, misdirection, or delay in receiving Member correspondence, redemption requests, or benefits, nor for any acts or omissions of third parties or errors in the Loyalty Program.

11.9 Second Glance Pte Ltd and its associates shall not be liable for any damages arising out of or connected with the Loyalty Program, including but not limited to, direct, indirect, special, punitive, or consequential damages.

11.10 Interpretations of Loyalty Program Rules regarding membership are solely at Second Glance Pte Ltd’s discretion, and its decisions shall be final.

12. Second Glance Payment Service

12.1 Second Glance Pte Ltd enables buyers to complete purchases on the platform using the following payment methods:

(i) Credit or debit card

(ii) Atome

(iii) PayNow

(iv) Grab PayLater

13. Second Glance Additional Terms

13.1 By utilizing any of the Payment Services provided, you acknowledge that such services are subject to additional terms and conditions set forth by third-party service providers, partners, subcontractors, and/or agents (“Additional Terms”). You agree to adhere to these Additional Terms, which include the Atome Deferred Payment Agreement (accessible at: Atome Deferred Payment Agreement), and the Grab PayLater terms of service (accessible at: Grab PayLater Terms of Service). These Additional Terms may undergo modifications or updates periodically, and you are expected to comply with any other terms and conditions referenced or integrated within them.

14. Security Measures

14.1 Second Glance Pte Ltd will implement reasonable security measures to prevent unauthorized access to any data stored by Second Glance Pte Ltd in connection with your use of the platform and its services. Second Glance Pte Ltd will make reasonable efforts to address security breaches within the platform and its services once they become known. You are prohibited from bypassing or interfering with any user authentication or security measures implemented by Second Glance.

14.2 You acknowledge that, despite the security measures implemented by Second Glance, the use of or connection to the Internet may allow unauthorized third parties to bypass these measures and gain illegal access to the platform, its services, and your data. Second Glance Pte Ltd cannot guarantee the privacy, security, integrity, or authenticity of any information or data transmitted over or stored in any system connected to or accessible via the Internet. Furthermore, Second Glance Pte Ltd cannot guarantee that these security measures will always be adequate or sufficient.

15. Amendments and Updates

15.1 Second Glance Pte Ltd retains full authority to:

15.1.1 Implement upgrades, alterations, enhancements, or modifications to the platform and its services, including the introduction of new features, designs, user interfaces, functions, updates, patches, maintenance, upgrades, or the acquisition of new software releases.

15.1.2 Modify, update, or revise these Terms of Use.

15.1.3 Discontinue, suspend, or terminate either partially or entirely the platform or services.

15.1.4 Impose limitations on specific features or restrict your access to certain parts or the entirety of the platform or services, at any time and for any reason (collectively referred to as “Changes”).

15.2 Second Glance Pte Ltd shall not be held responsible for any losses incurred due to any loss of access to the platform or interruption in the use of the services resulting from these Changes.

15.3 Any revisions to these Terms of Use will become effective immediately upon their publication on the platform. It is your responsibility to stay informed about any updates to these Terms of Use, which will be posted on the platform periodically. Your continued use of the platform and services following any changes to the Terms of Use will be deemed as acceptance and affirmation of the amended or modified Terms of Use. Second Glance Pte Ltd will not be liable for any losses resulting from any amendments or modifications to these Terms of Use.

15.3.4 Second Glance Pte Ltd reserves the right to specify and update, as necessary or appropriate, the required configuration and specifications for hardware, software, or services of any third-party service provider for your access and connectivity to the platform or use of the services. You agree to comply with such initial and updated configurations and specifications at your own expense. Failure to do so may result in the inability to access the platform or use the services.

16. Intellectual Property Rights

16.1 All intellectual property rights associated with or utilized in connection with the platform, its services, and all related materials and works, including but not limited to:

16.1.1 Trademarks, logos, trade names, text, data, images, graphics, photos, links, maps, materials, software, music, audio-visual content, and/or other materials produced and/or obtained by Second Glance.

16.1.2 Computer code, including HTML, WML, Java, CGI scripts, JavaScript, and all other forms of code utilized in the design, creation, and posting of the platform on the Internet, along with any updates and derivative works.

16.1.3 Computer programs, modules, algorithms, and/or tools related to the platform, including source codes, object codes, and all associated documentation, concepts, databases, data, and methodologies.

16.1.4 Graphical user interfaces related to the platform.

16.1.5 Compilation, collection, arrangement, and assembly of all data, information, and content on the platform.

16.1.6 All other information and content available on the platform.

16.1.7 Any other proprietary designations or materials used in association with the platform and/or its services (collectively referred to as “Second Glance Materials”), are the property of Second Glance, its licensors, and/or its affiliates, and are protected by copyright law, trademark law, designs law, patent law, international conventions, and other intellectual property laws. Your use of the platform and access to any Second Glance Materials do not grant or transfer any rights, title, or interest to you regarding the platform or any Second Glance Materials.

16.2 Without the prior written consent of Second Glance:

16.2.1 You shall not copy, in whole or in part, any Second Glance Materials and/or the platform.

16.2.2 You shall not sell any part of the Second Glance Materials and/or the platform to any third party.

16.2.3 You shall not copy, reproduce, publish, modify, adapt, upload, post, transmit, distribute, commercially exploit, reverse engineer, disseminate, broadcast, or circulate any part of the Second Glance Materials and/or the platform.

16.2.4 You shall not breach any intellectual property rights associated with the Second Glance Materials and/or the platform, including altering or modifying any of the Second Glance Materials and/or the platform, framing or embedding any part of the Second Glance Materials and/or the platform in another website, or creating derivative works from the Second Glance Materials and/or the platform.

16.3 Second Glance Pte Ltd is committed to ensuring that listings and other content on its platform do not infringe on intellectual property rights (“IPR”). If you are an owner of IPR (“IPR Owner”) or an authorized agent acting on behalf of an IPR Owner (“IPR Agent”) and believe that your or your principal’s IPR has been infringed by any content on the platform, please notify Second Glance Pte Ltd immediately at: orders@secondglance.sg. Only the IPR Owner or their IPR Agent (collectively, “Complainant”) may file a notice of IPR infringement, and all notices must comply with Clause 16.4.16.4 Notifications under Clause 16.3 must include at least the following:

16.4.1 Name and address of the Complainant.

16.4.2 Name and address of the IPR Owner (if IPR Agent is the Complainant).

16.4.3 Power of Attorney.

16.4.4 Proof of the relevant IPR.

16.4.5 Nature of the infringement.

16.4.6 Contact information.

16.4.7 Good-faith statement.

16.4.8 Any other supporting materials.

17. Personal Data Protection

17.1 As a user, you will need to provide personal data, payment and credit card information, delivery details, and other relevant data to register an Account, process transactions, arrange for delivery and invoicing, and enable the provision of Services and Site administration (each referred to as a “Permitted Purpose”). By submitting such personal data and information, you consent to its collection, use, processing, and retention by Second Glance Pte Ltd and its service providers (collectively referred to as “Service Providers”). This data processing is essential for payment processing services, warehousing, delivery services, and other necessary services to provide the Site and Services, as required for each respective Permitted Purpose.

17.2 All information and personal data provided will be governed by the Privacy Policy. Second Glance Pte Ltd will ensure that such information and personal data is kept confidential, and will require the same from its Service Providers. However, Second Glance Pte Ltd shall not be liable for any losses incurred in the event of unauthorized use or disclosure of such information or personal data by the Service Providers.

18. Indemnity

18.1 By utilizing the Site and/or Services, you agree to indemnify, protect, and defend Second Glance Pte Ltd, its affiliates, officers, directors, employees, and agents, to the fullest extent permitted by applicable law, from and against any and all losses incurred, arising out of or related to:

18.1.1 Your access to, reliance on, and/or use of the Site, Services, and/or Second Glance Pte Ltd Materials;

18.1.2 Any actual or alleged breach of your representations, warranties, or obligations set forth in these Terms of Use;

18.1.3 Any actual or alleged violation of any third-party right, including without limitation any intellectual property or data protection right;

18.1.4 Your failure to comply with any applicable laws and regulations in connection with your use of the Site, Services, and/or Second Glance Pte Ltd Materials;

18.1.5 The sale or purchase of any products;

18.1.6 Any claim that your use of the Site caused loss, damage, injury, or death to a third party; and/or

18.1.7 Any other liabilities incurred through your use of the Services including the Site.

18.2 The aforementioned indemnification obligation will remain effective even after the expiration or termination of this Agreement, and throughout your use of the Site and/or Services.

19. Disclaimer of Warranties

19.2 Second Glance Pte Ltd is not affiliated, associated, authorized, endorsed by, or in any way officially connected with the brands it carries, any of its subsidiaries, or affiliates. The brand names, marks, and emblems are registered trademarks of the respective owners.

19.2 To the fullest extent permitted by applicable law and unless expressly agreed otherwise in a Service Agreement, Second Glance Pte Ltd, its Service Providers, their respective affiliates, licensors, directors, officers, agents, and employees expressly disclaim all warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, satisfactory quality, fitness for a particular purpose, title, non-infringement, and freedom from computer virus or other malicious, destructive, or corrupting code, agent, program, or macros.

19.3 Second Glance Pte Ltd will use reasonable efforts to keep the Site and Services operational. However, you acknowledge and agree that there will be circumstances that may, from time to time, result in temporary interruptions or downtime, errors, or unavailability or limited availability of the Site and/or Services, including but not limited to routine or emergency support or maintenance, updates, upgrades, or other development activity, and technical malfunctions of the underlying software, equipment, services, or infrastructure.

19.4 Neither Second Glance Pte Ltd nor any other Service Provider warrants uninterrupted use, operation, or availability of the Site, Services, and/or any Second Glance Pte Ltd Materials, or that your use of the Site and Services will be secure, timely, bug-free, or error-free, free or viruses or other harmful components, or that any submission or transaction request you attempt using the Site or Services will be successful, uncorrupted, or completed within a reasonable amount of time or meet any performance or reliability standards. You will be solely responsible for any delay or loss of any kind that results from your access to, or use of, the Services, the Site, and/or the Second Glance Pte Ltd Materials.

19.5 Second Glance Pte Ltd does not warrant, endorse, guarantee, or assume responsibility for any third-party information, materials, content, or any other product or service produced or provided by a third party, including courier or delivery services and other users of the Site. Consequently, Second Glance Pte Ltd will not be responsible for any transaction between you and third-party providers of third-party products and/or services, or for any acts or omissions of such third parties.

19.6 No advice or information, whether oral or written, obtained by you from Second Glance Pte Ltd or any other Service Provider through or from the Services, will create any warranty regarding the Services that is not expressly stated in this Agreement.

19.7 You acknowledge and agree that:

19.7.1 Your use of the Site and/or the Services, including, without limitation, your use of any Second Glance Pte Ltd Materials or intellectual property owned by Second Glance Pte Ltd, is at your sole risk;

19.7.2 The Site, Services, and all Second Glance Pte Ltd Materials are provided on an “as is” and “as available” basis;

19.7.3 Second Glance Pte Ltd endeavors to ensure but does not guarantee that the content displayed on the Site will be accurate or up to date and is not liable for any Loss suffered arising out of or due to your reliance on any information provided on the Site or through the Services;

19.7.4 Second Glance Pte Ltd endeavors to ensure but will not be able to ascertain the quality or reliability of all materials and information posted on the Site and will not be held liable for any Loss suffered by you arising out of or due to any errors or inaccuracies on the Site;

19.7.5 Second Glance Pte Ltd is not liable for any viruses, spyware, defects, errors, or malfunctions to computers that arise out of your usage of the Site;

19.7.6 Second Glance Pte Ltd is not liable for any potentially offensive, illegal, infringing, objectionable, or offensive text, images, photographs, content, or material posted by third parties during their use of this Site and/or the Services and that all information and materials (regardless of type and form) are the sole responsibility of the person from whom it originated;

19.7.7 Second Glance Pte Ltd is not liable for any reliance on any information, opinions, or views expressed by Second Glance Pte Ltd on the Site;

19.7.8 There may be occasional errors in the use of the Site and the Services, and Second Glance Pte Ltd is not liable for any Loss to you that may arise as a result of those errors; and

19.7.9 The above disclaimers and limitations are required for Second Glance Pte Ltd to provide you and other users with the full and complete Services requested and enable the Services to be provided to you.

20. Termination

20.1 Notwithstanding any other provision in this Agreement to the contrary, Second Glance Pte Ltd reserves the right, without notice or cause and in its sole discretion, to terminate this Agreement and/or any Account.

20.2 Second Glance Pte Ltd reserves the right to cancel, terminate, and/or suspend your access to and use of the Site, Services, and/or your Account at any time at its sole and absolute discretion without notice or justification, and/or terminate this Agreement, including without limitation in the event of unauthorized or suspected unauthorized use of the Site and/or the Services, whether in contravention of this Agreement or otherwise. Second Glance Pte Ltd reserves the right to consequently reject, cancel, or delete any sales, listings, promotions, or other features associated with you and your Account.

20.3 Any suspension, termination, or other action by Second Glance Pte Ltd set out in these Terms of Use will not limit any other remedies Second Glance Pte Ltd may have against you at law or equity.

21. Effect of Termination

21.1 Upon termination of this Agreement, the Services, or your Account, for any reason:

21.1.1 You will lose all access to your Account, and to any content, materials, or information relating to it. Subject to the applicable data protection and privacy laws, Second Glance Pte Ltd will have no obligation to maintain any information stored in its database related to your Account, or to forward any information to you or any third party.

21.1.2 Second Glance Pte Ltd will have no further obligation to provide the Services, and all licenses and other rights granted to you under these Terms of Use will immediately cease. Second Glance Pte Ltd will not be liable to you or to any third party for such termination and cessation.

21.1.3 All accrued and outstanding amounts due from you to Second Glance Pte Ltd shall immediately become due and payable.

21.2 Any suspension, termination, or cancellation of this Agreement, the Site, Services, or your Account will not affect any of your obligations to Second Glance Pte Ltd under these Terms of Use which by their meaning and context are intended to survive such suspension, termination, or cancellation.

22. Limitation of Liability

22.1 Subject to Clause 21.3 and to the fullest extent permitted under applicable law, under no circumstances shall Second Glance Pte Ltd be liable for:

22.1.1 Any indirect, incidental, special, consequential, or exemplary Loss or damages, including, without limitation, damages for loss of profits, business, revenue, goodwill, anticipated savings, use, data, or other intangible losses (even if Second Glance Pte Ltd has been advised of the possibility of such loss or damages), whatsoever or howsoever caused arising directly or indirectly in connection with or arising out of this Agreement.

22.1.2 Any direct Losses resulting from:

Your access to or use of, or your inability to access or use, the Site, Services, or any Second Glance Pte Ltd Materials.

Mistakes, omissions, interruptions, deletion of files, errors, defects, delays in operation or transmission, or any failure of performance whether or not caused by events beyond Second Glance Pte Ltd’s reasonable control, including but not limited to acts of God, communications failure, global positioning failure, theft, destruction, or unauthorized access to Second Glance Pte Ltd’s records, programs, or services.

Any act or omission of a Service Provider or any other third party.

Any error, interruption, delay, failure, or other technical breakdown or problem whatsoever and however caused of third-party equipment, third-party software, or third-party firmware, or any other equipment, software, firmware, or service of Second Glance Pte Ltd’s third-party service providers, or agents, including any Service Provider or any platform or facilities of such Service Provider, credit card or other payment method companies, banks, and/or other third-party providers (including without any limitation, telecommunication problems, power supply problems, Internet-related problems, problems with accessing, viewing, or hosting the Site, third-party websites, problems with computer systems and information systems, third-party problems, payment gateway problems, problems with FTP, POP, IMAP, SMTP, acts and omissions of customers and third parties), or caused by any emergency measure which may be taken by Second Glance Pte Ltd in the event of any such failure.

22.2 Notwithstanding any other provision of this Agreement, the liability of Second Glance Pte Ltd to you under or in relation to this Agreement or the performance of Second Glance Pte Ltd’s obligations hereunder, for any and all causes of action in relation to the Site, Services, or any Second Glance Pte Ltd Materials, and this Agreement, shall not in any event exceed the total amount of fees and charges paid by you to Second Glance Pte Ltd for the Services from which such liability arose.

22.2 Nothing in these Terms of Use shall limit or exclude any liability for death or personal injury caused by Second Glance Pte Ltd’s negligence.

23. General

23.1 Notices

23.1.1 Any communication from Second Glance Pte Ltd will be sent to the email address you have provided, and it’s your responsibility to ensure the accuracy and currency of this email address.

23.1.2 You will be considered to have received any communication from Second Glance Pte Ltd:

(i) Immediately upon personal delivery.

(ii) Two Singapore business days after being posted if sent by mail.

(iii) Upon completion of transmission to the email address provided by you if sent via email, unless Second Glance Pte Ltd receives a non-delivery or error message indicating that the email was not successfully sent to your mailbox or mail server.

23.2 Entire Agreement

23.2.1 This Agreement, comprising these Terms of Use, the Privacy Policy, any Service Agreement you engage in, and any other terms referenced by Second Glance Pte Ltd in this Agreement, constitutes the entire understanding between you and Second Glance Pte Ltd regarding your utilization of the Site and Services. It overrides any prior agreements, commitments, representations, and warranties concerning the Site and/or the Services, whether verbal or written. Any additional or conflicting terms or conditions related to the subject matter of these Terms of Use in any verbal or written communication from you to Second Glance Pte Ltd are null unless expressly agreed upon in writing by Second Glance Pte Ltd. You acknowledge and confirm that you have not accepted these Terms of Use based on any verbal or written statements made by Second Glance Pte Ltd that are not included in these Terms.

23.3 Illegality & Waiver

23.3.1 If any provision of this Agreement is determined by Second Glance Pte Ltd or by any competent authority to be illegal, void, or unenforceable under any applicable law, this Agreement shall remain in effect, except that such provision shall be considered severed from this Agreement as of the date of such determination or decision, or an earlier date agreed upon by the parties.

23.3.2 No failure, delay, or partial exercise by Second Glance Pte Ltd in enforcing its rights, powers, or remedies under this Agreement shall constitute a waiver of that or any other right, power, or remedy, unless Second Glance Pte Ltd expressly waives its rights, powers, or remedies in writing.

23.3.3 Any waiver of Second Glance Pte Ltd’s rights, powers, or remedies concerning a breach of this Agreement by you shall not be:

(i) effective unless it is made in writing and signed by Second Glance Pte Ltd;

(ii) deemed a waiver of any subsequent breach of that or any other provision of this Agreement.

23.4 Survival

23.4.1 The terms, provisions, representations, and warranties within these terms that, by their nature and context, are intended to remain in effect after the conclusion of performance, expiration, or termination of this Agreement (including but not limited to indemnification, disclaimers, representations, and warranties) shall indeed survive the conclusion of performance, expiration, or termination of this Agreement.

23.5 Governing Law & Jurisdiction

23.5.1 This Agreement shall be governed by and interpreted in accordance with the laws of Singapore.

23.5.2 The parties hereby agree to submit exclusively to the jurisdiction of the courts of Singapore.

23.6 Rights of Third Parties

23.6.1 According to the Contracts (Rights of Third Parties) Act 2001, any individual or entity not explicitly involved in this Agreement shall not possess the right to enforce any of these Terms of Use, irrespective of whether they have been specified by name, as part of a group, or described in any particular manner.
